Notification of Mountaineering Scotland Annual General meeting (AGM) and Extraordinary General Meeting (EGM)

The board of Mountaineering Scotland invite you to attend the 2020 AGM and EGM to be held at 4:30pm on Saturday 21 November. 

Due to the current situation in relation to COVID – 19, and the ongoing restrictions, the decision has been taken to hold the meeting online using Zoom. 

As this is our first online AGM, we have produced some supporting notes for attendees including details of how to join the meeting, how the meetings will run and the voting process on the day.

Members are asked to approve the minutes of the previous AGM and EGM, and four appointments to the board: 

  • Election of Director for Snowsports Touring
  • Election of Director of Finance & Treasurer
  • Election of Director Landscape and Planning
  • Election of Director for Governance, HR & Equalities

Following the review and approval of the new articles of association at last year’s EGM and in response to a matter raised by the Cairngorm Club the board are proposing two amendments to the articles to reinstate the ability for Honorary members of the organisation to speak and vote at general meetings of the company. These require amendments to sections 3.5.2 and 6.10.3 as detailed in the notice and voting forms. 

Members are asked to vote in support of these amendments.

Due to the complexity of club votes, this year we are asking clubs to submit votes in advance of the AGM using the proxy voting forms on our website. To assist clubs with their vote, we will be in touch next week to advise you of the number of votes allocated.

Please ensure that proxy forms reach us by email or post by 4pm Friday 13th November.

To ensure that an opportunity is provided for members to ask questions which relate to the business covered in the agenda and to assist in the smooth running of the meeting we would ask that any questions are submitted in advance to the company secretary by emailing stuart@mountaineering.scot by 4pm on Friday 13 November 2020.
